Terms of Service
Effective September 17, 2026. These terms are an agreement between you and Adhoc Support, LLC, a Virginia limited liability company doing business as IoT Message ("IoT Message", "we", "us"). By creating an account or using the service, you agree to them.
1. Eligibility and accounts
- You must be a business, or an individual aged 18 or older, located in the United States, and you must use IoT Message for alerts about devices. The service is not for consumer marketing.
- You are responsible for your sign-in credentials and for all activity under your account, including messages triggered by your devices and messages sent to recipients who sign up through your opt-in form.
- The information you give us must be accurate, including a mobile number that you control.
- When you give us a Hologram API key, you authorize us to use it to read your device list and your devices' messages, and for no other purpose.
2. The service
- IoT Message receives events from your devices, by webhook and by reading device messages through the Hologram API, and sends text messages according to the triggers, templates, and recipients you configure.
- Messages are sent to recipients in the United States. Other destinations are available only by separate written agreement.
- Message templates require our approval before use. We may refuse, suspend, or revoke approval of any template at our discretion.
3. Billing and payment
- Paid plans are billed monthly or annually, in advance, through our payment processor, Stripe.
- All charges are final.
- Prices exclude applicable taxes, which may be added where required.
- If a payment fails, the service continues while payment is retried for up to 7 days. If payment is not recovered, your account moves to the Free plan.
4. No refunds
- All payments, monthly and annual, are non-refundable, including for partial months or years.
- This applies regardless of usage. For example, an account that sends 5 of its 2,000 monthly messages is not entitled to a partial refund.
5. Message allotment and dropped messages
- Each plan includes a monthly allotment of messages, shown on the pricing page and in your dashboard. One message is one alert delivered to one recipient, whatever its length. Allotments reset monthly, including on annual plans.
- Once your allotment is reached, outbound messages are dropped: they are not queued and not delayed, and they are not sent later. Sending resumes at the next monthly reset or when you upgrade.
- Receiving and recording your device events continues; only outbound sending stops.
- Unused messages do not roll over.
- Messages may also be dropped by trigger cooldowns you configure, by recipients who have opted out, and, on the Free plan, by the restriction that alerts go only to your own verified number.
- We are not liable for any consequence of a dropped message, including a missed alert.
6. Cancellation
- You may cancel a paid plan at any time from your dashboard. Cancelling does not refund the current billing period, monthly or annual.
- You keep full access, up to your plan's allotment, through the end of the period you have paid for.
- At the end of that period your account moves to the Free plan, and no further charges occur.
7. Plan changes
- Upgrades take effect immediately. The prorated difference for the rest of the billing period is charged when you upgrade, and the upgrade applies only if that charge succeeds. The new plan's allotment applies at once, and messages already sent in the current month count toward it.
- Downgrades, including moving from annual to monthly billing, take effect at the start of the next billing period.
8. Changes to pricing
- We may change subscription pricing, including the prices of plans and custom plans, at our discretion.
- Notice. We give existing subscribers at least 30 days' notice by email before a change applies to them.
- When it applies. New pricing applies from your first renewal after the notice period, never in the middle of a billing period.
- Your option. You may cancel before the new price applies, subject to sections 4 and 6. Cancelling does not refund the current period; it prevents the next charge.
- Annual plans. Your price is locked for the term you have already paid for. A change affects only your next renewal.
- Custom plans may carry their own renewal and notice terms if we agree to them in writing. Otherwise this section applies.
9. Acceptable use
- You may not use IoT Message to send spam, unsolicited marketing, or content that violates the Telephone Consumer Protection Act, CTIA guidelines, wireless carrier codes of conduct, or any other applicable law.
- Messages must be operational alerts about devices, not promotional content.
- You must have each recipient's consent to receive your alerts and must honor opt-outs. Recipients who reply STOP are blocked automatically until they reply START.
- We may suspend sending immediately to protect our messaging numbers and our ability to deliver messages for all customers.
- You will indemnify and hold us harmless from claims arising from your messages or from your recipients' consent, or lack of it.
10. Suspension and termination
- We may suspend or terminate your account for violations of these terms, non-payment, carrier complaints, or risk to the service, with or without notice depending on the severity.
- No refund is given when an account is terminated for cause.
11. Service availability
- We do not guarantee any level of uptime. The service depends on third parties outside our control, including Twilio, wireless carriers, Hologram, Stripe, Resend, and our hosting.
- Messages may be delayed, dropped, or undelivered for those reasons, including delays in reading device messages from Hologram.
- IoT Message is not for emergency, life-safety, or medical alerting, and must not be the only way you are notified in such situations.
12. Disclaimer and limitation of liability
- The service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Because messages may be dropped or delayed by carriers, device connectivity, or outages at our providers, our total liability for any claim relating to the service is limited to the fees you paid us in the 12 months before the claim arose.
- We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost data, or missed alerts, even if we were told they were possible.
13. General
- Governing law. These terms are governed by the laws of the Commonwealth of Virginia. Any dispute will be heard in the state and federal courts located in Richmond, Virginia.
- Changes to these terms. We will tell you about changes by email and in your dashboard before they take effect. Continuing to use the service after the effective date means you accept the changed terms.
